FZ LLE (License No.: 18970/2024; address: United Arab Emirates, Dubai, Fujairah – Creative Tower, P.O.Box 4422 Fujairah) (hereinafter “NEXUS” or “we” or “us” or “our”) jointly own and operate the NEXUS GLOBAL CONSULTING website (www.nexglobcon.com), as well as the mobile and touch versions and any sites we have now or in the future that reference these Terms and Conditions (collectively, “Website”).

By using the Website you agree to these Terms and Conditions. The term “using” also includes any person or entity that accesses or uses the Website with crawlers, robots, data mining, or extraction tools or any other functionality.

  1. Force Majeure

NEXUS shall be excused from performance under these Terms and Conditions, to the extent it or a user is prevented or delayed from performing, in whole or in part, as a result of an event or series of events caused by or resulting from: (a) weather conditions or other elements of nature or acts of God; (b) acts of war, acts of terrorism, insurrection, riots, civil disorders or rebellion; (c) epidemics or pandemics (including the COVID-19 pandemic); (d) quarantines or embargoes; (e) labor strikes; (f) error or disruption to major computer hardware or networks or software failures; or (g) other causes beyond the reasonable control of NEXUS or a user, as applicable.

 

  1. Assignment

You may not assign these Terms and Conditions, or any rights, benefits, or obligations hereunder, by operation of law or otherwise, without the express written permission of NEXUS. Any attempted assignment that does not comply with these Terms and Conditions shall be null and void.

NEXUS may assign these Terms and Conditions and its rights arising from this Terms and Conditions and any of its further rights (regardless of their legal grounds) against you, in whole or in part, to any third-party in its sole discretion.

 

  1. Entire Agreement

These Terms and Conditions, including, without limitation, the incorporated Privacy Policy, and other terms incorporated by reference, constitute the entire agreement and understanding between you and NEXUS with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and NEXUS with respect to such subject matter.

 

  1. Choice of Law

Any disputes arising out of or related to these Terms and Conditions and/or any use by you of the Website or the Services shall be governed by the laws of Dubai and the United Arab Emirates, without regard to its choice of law rules and without regard to conflicts of laws principles.

 

  1. Dispute Resolution

(a) Except as specifically stated herein, any dispute or claim between you and NEXUS and/or any of their respective members, officers, directors, and employees arising out of, relating in any way to, or in connection with these Terms and Conditions, the Website, the Services or your use of the Website or Services or your personal information (hereinafter jointly referred to as “Dispute(s)”) shall be resolved exclusively by the courts of Dubai.

(b)  No Class Action Matters: We each agree that we shall bring any Dispute against the other in our respective individual capacities and not as a plaintiff or class member in any purported class, representative proceeding or as an association. In addition, we each agree that Disputes shall be resolved only on an individual basis and not in a class, consolidated, or representative action and that the court may award relief (including injunctive relief) only on an individual basis.

(c)  Severability: If any part of this Section 18 is ruled to be unenforceable, then the balance of this Section 18 shall remain in full effect and construed and enforced as if the portion ruled unenforceable were not contained herein.

 

  1. Additional Disclosures

No waiver by either you or NEXUS of any breach or default or failure to exercise any right allowed under these Terms and Conditions is a waiver of any preceding or subsequent breach or default or a waiver or forfeiture of any similar or future rights under the Terms and Conditions.

The section headings used herein are for convenience only and shall be of no legal force or effect.

If a court of competent jurisdiction holds any provision of the Terms and Conditions invalid, such invalidity shall not affect the enforceability of any other provisions contained in these Terms and Conditions, and the remaining portions of the Terms and Conditions shall continue in full force and effect.

The provisions of these Terms and Conditions apply equally to, and are for the benefit of, NEXUS, its third-party content providers and licensors, and each shall have the right to assert and enforce such provisions directly.
